These Terms of Service ("Terms") form a binding agreement between you ("you", "Customer") and VIZUAL LIVE ("VIZUAL LIVE", "we", "us"), operator of the live broadcasting, recording, and multistreaming platform available at vizuallive.com and related subdomains (the "Service"). By creating an account, accessing, or using the Service you accept these Terms. If you do not agree, do not use the Service.

1. The Service

VIZUAL LIVE provides a browser-based studio for producing live video, including:

Multi-guest live video rooms with low-latency WebRTC streaming.
Simulcasting ("restream") to third-party platforms such as YouTube, Twitch, Kick, Facebook, LinkedIn and custom RTMP destinations.
Cloud and local recording, automated clipping, captions, transcripts, show notes, and post-production tools.
Hosted watch pages, channel pages, embeds, chat, polls, reactions, and viewer tipping.
Scheduling, registration pages, guest invites, and producer tools.

Specific features available to you depend on your plan and may change as the Service evolves.

2. Eligibility & Accounts

You must be at least 13 years old (16 in the EEA/UK) and able to form a binding contract in your jurisdiction.
You are responsible for all activity under your account, for safeguarding your credentials, and for the conduct of guests, co-hosts, and team members you invite.
You must provide accurate registration information and keep it current.
One person or legal entity per account unless you use our Workspaces feature for shared access.

3. Plans, Billing & Refunds

Free tier & trials are offered at our discretion and may be limited or withdrawn.
Paid plans renew automatically (monthly or annually) until cancelled. You authorise our payment processor (Stripe) to charge your payment method for each renewal.
Usage-based charges (e.g. additional streaming hours, storage, transcription, AI clipping) accrue during the billing period and are charged at the start of the next cycle at the rates published in your dashboard.
Cancellation takes effect at the end of the current paid period. You retain access until then.
Refunds. Fees are non-refundable except where required by law (e.g. statutory consumer rights). Annual plans cancelled mid-term are not pro-rated.
Taxes. Prices exclude VAT, GST and sales tax unless stated. You are responsible for taxes other than those on our net income.
Price changes apply to the next renewal after at least 30 days' notice.

4. Tips & Viewer Payments

Viewer tips are processed by Stripe Connect on your behalf. You are the merchant of record for those payments and are responsible for fulfilment, taxes, refunds and chargebacks. We deduct platform and processing fees as disclosed at the time of payout. We may withhold payouts to investigate suspected fraud, chargebacks, or violations of these Terms.

5. Your Content

You retain all rights in the video, audio, chat, captions, branding and other material you upload, broadcast, or generate through the Service ("Customer Content").
You grant VIZUAL LIVE a worldwide, non-exclusive, royalty-free licence to host, copy, transcode, transmit, encrypt, cache, display, generate derivatives (e.g. captions, clips, thumbnails) and otherwise process Customer Content solely to operate, secure and improve the Service and to deliver it to your chosen destinations and viewers.
You represent that you own or have the necessary rights to your Customer Content, including rights and consents from every guest, music rights, and any third-party material you display on stream.
You are solely responsible for moderating chat and other interactive features on your channel.

6. Acceptable Use

You will not, and will not allow others to:

Broadcast or distribute content that is illegal, infringing, defamatory, sexually exploitative of minors, incites violence, or violates third-party rights;
Use the Service to harass, dox, threaten, or impersonate others;
Stream copyrighted music, sports, or video that you are not licensed to redistribute;
Transmit malware, attempt to breach security, scrape the Service at scale, reverse-engineer it, or interfere with other users' streams or accounts;
Resell, sublicense, or build a competing live-streaming product on top of the Service without written permission;
Bypass usage limits, share login credentials beyond the seats you have paid for, or abuse promotional pricing;
Use the Service in violation of export controls or sanctions.

We may remove content, suspend streams, or terminate accounts to enforce this section, including without notice in cases of clear abuse or legal risk.

7. DMCA & Copyright

We respect intellectual property and respond to valid takedown notices under the DMCA and equivalent laws. Send notices and counter-notices to dmca@vizuallive.com. Repeat infringers will have their accounts terminated.

8. Third-Party Platforms & Integrations

When you connect destinations (YouTube, Twitch, Kick, Facebook, LinkedIn, custom RTMP) or other integrations, you authorise us to access and exchange data with those services on your behalf. Your use of those platforms is governed by their own terms. We are not responsible for outages, content moderation decisions, or policy changes by third parties, including the loss of streams sent to them.

9. Beta Features & AI

Features labelled "beta", "preview" or "experimental" — including AI-generated captions, clips, summaries and show notes — are provided as-is, may change or be removed, and may produce inaccurate output. You are responsible for reviewing AI output before publishing or relying on it. Do not submit content you do not have rights to process with AI.

10. Recording & Consent

You are responsible for obtaining consent from every participant whose voice, image, or communications are recorded, transcribed or broadcast through the Service, in accordance with the laws of every jurisdiction in which they are located.

11. Service Availability

We work hard to keep the Service running but do not guarantee uninterrupted, secure, or error-free operation. We may schedule maintenance, throttle abusive workloads, or make changes to features. Live broadcasting depends on your network, devices, and destinations, which are outside our control.

12. Suspension & Termination

You may cancel at any time from your dashboard.
We may suspend or terminate your access immediately for breach of these Terms, non-payment, or risk to the Service or other users.
On termination we may delete your Customer Content after a reasonable retention window. Export important recordings before cancelling.

13. Disclaimers

The Service and any AI features are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy of AI output, or that streams will reach any particular audience or platform.

14. Limitation of Liability

To the maximum extent permitted by law, VIZUAL LIVE will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost revenue, lost audience, lost recordings, lost goodwill, or substitute services. Our total aggregate liability for any claim arising out of or relating to the Service will not exceed the greater of (a) the amount you paid us in the 12 months before the event giving rise to the claim, or (b) USD 100.

15. Indemnity

You will defend and indemnify VIZUAL LIVE against third-party claims arising from your Customer Content, your use of the Service, or your breach of these Terms.

16. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of laws rules. Disputes will be resolved exclusively in the state or federal courts located in Delaware, except that either party may seek injunctive relief in any court of competent jurisdiction. If you are a consumer in the EEA or UK, mandatory local consumer law still applies.

17. Changes to These Terms

We may update these Terms. Material changes will be communicated via the Service or by email at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
